Barnet value the deal, which is dependent on the players agreeing personal terms and passing medicals, at £110,000.
Agogo, 23, recently rejected a £100,000 move to Peterborough United and was targeted by Rovers boss Ray Graydon after Rochdale's Clive Platt opted to join Notts County instead.
Former Sheffield Wednesday and QPR frontman Agogo scored 19 times in the Conference last season, while ex-Peterborough and Swindon striker Grazioli top-scored for Rovers with 12 goals.
Meanwhile, Barnet midfielder Mark Gower is wanted by Southend and talks are continuing between the two clubs.

Macclesfield are set to sign Barnsley goalkeeper Matt Ghent who has agreed a 12-month deal with the Silkmen.
The 22-year-old had been offered a new short-term contract at Oakwell but is expected to put pen-to-paper at the Moss Rose next week.
He said: "I am going to Macclesfield on Friday for a medical and they would like me to sign on Monday.
"I would like to stay at Barnsley but I have to safeguard my family's future for next year.
"It looks extremely unlikely anything will happen with Barnsley before I go for the medical on Friday," Ghent told the club's website.
The former Aston Villa youngster, who has also played at Lincoln City and Forest Green Rovers, made nine appearances for the Tykes last season.
